Please read these Terms carefully. They contain a binding arbitration clause and class action waiver in Section 17 that affect your legal rights.
By accessing, registering for, or using the WealthGrid platform, website, mobile application, or any associated services (collectively, the "Platform"), you ("Client," "User," or "you") agree to be legally bound by these Terms of Service ("Terms") and all documents incorporated by reference herein. If you do not agree, you must immediately cease all use of the Platform.
NOT AN INVESTMENT ADVISER. WealthGrid is a financial technology platform and is NOT a registered investment adviser (RIA), broker-dealer, commodity trading adviser (CTA), commodity pool operator (CPO), or financial planner under any federal or state securities law. Nothing on the Platform constitutes investment advice, a recommendation to buy or sell any security or financial instrument, or a solicitation to invest.
NO FIDUCIARY DUTY. WealthGrid does not owe you a fiduciary duty. Our trading team operates pursuant to a Limited Power of Attorney strictly limited to trade execution in your designated WealthStream account.
REGULATORY STATUS. WealthGrid's WealthStream managed trading service operates through third-party licensed brokers. You are responsible for understanding the regulatory status of the broker holding your trading account.
You must be: (a) at least 18 years of age; (b) a legal resident of a jurisdiction where the Platform's services are lawfully available; (c) capable of entering into a legally binding contract; and (d) not subject to any sanctions, export controls, or legal restrictions that would prohibit your use of the Platform. By registering, you represent and warrant that you meet all eligibility requirements.
By using the Platform, you consent to receive all agreements, notices, and disclosures electronically pursuant to the Electronic Signatures in Global and National Commerce Act (ESIGN), 15 U.S.C. § 7001 et seq., and applicable state law. Your electronic acceptance constitutes a legally binding signature equivalent to a handwritten signature.
(a) You agree to provide accurate, current, and complete information during registration and to promptly update such information as necessary.
(b) You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
(c) You agree to immediately notify WealthGrid of any unauthorized use of your account at support@wealthgrid.ai.
(d) WealthGrid is not liable for losses resulting from unauthorized access to your account not directly caused by our gross negligence or willful misconduct.
The Platform provides: (a) access to the WealthStream™ managed trading account service; (b) financial education and content; (c) portfolio tracking and financial planning tools; (d) access to third-party financial service providers; and (e) referral and affiliate program administration. The availability and features of services depend on your subscription tier.
(a) Platform subscription fees are charged monthly in advance as disclosed at enrollment. Fees are subject to change with 30 days' written notice.
(b) WealthStream™ account setup fees are one-time fees charged at the time of WealthStream activation, as disclosed separately within the Platform.
(c) Performance fees, where applicable, are calculated on net new profits using a high-watermark methodology, as described in your Client Services Agreement.
(d) All fees are non-refundable except as expressly stated in writing or required by applicable law.
(e) Failure to pay fees may result in suspension or termination of your account.
WealthGrid is committed to complying with all applicable anti-money laundering (AML) laws, including the Bank Secrecy Act and the USA PATRIOT Act. You agree to: (a) provide accurate identity documentation upon request; (b) not use the Platform to facilitate money laundering, terrorist financing, or any illegal activity; and (c) cooperate with any identity verification procedures we implement. We reserve the right to report suspicious activity to relevant authorities.
You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Platform or its infrastructure; (c) reverse engineer, decompile, or disassemble any portion of the Platform; (d) transmit viruses or malicious code; (e) engage in any form of market manipulation or fraudulent trading activity; (f) circumvent any security or access controls; (g) impersonate any person or entity; (h) use automated scripts to access the Platform without written consent; or (i) use the Platform in any manner that could damage, disable, or impair it.
All content, trademarks, service marks, trade names, logos, software, and technology on the Platform are the exclusive property of WealthGrid or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. No other rights are granted.
The Platform may integrate with third-party services (including but not limited to Plaid for bank connectivity, payment processors, and trading brokers). These third parties have their own terms and privacy policies for which WealthGrid is not responsible. Your use of such services is at your own risk.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WEALTHGRID DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. PAST TRADING PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) WEALTHGRID'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES PAID BY YOU TO WEALTHGRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED DOLLARS ($100); (b) WEALTHGRID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
You agree to defend, indemnify, and hold harmless WealthGrid, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your violation of any third-party right; or (d) any trading losses or financial decisions made based on information accessed through the Platform.
WealthGrid shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government actions, internet or telecommunications failures, exchange or market outages, or other force majeure events.
(a) WealthGrid may suspend or terminate your account immediately, with or without cause, upon notice, including for violations of these Terms.
(b) Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall do so, including Sections 13, 14, 17, and 18.
MANDATORY ARBITRATION. ALL DISPUTES BETWEEN YOU AND WEALTHGRID ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES.
CLASS ACTION WAIVER. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
(c) Exceptions: Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration.
(d) Arbitration shall be conducted in Florida or via videoconference. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
(e) Each party bears its own attorneys' fees unless the arbitrator finds the claim was brought in bad faith.
(f) You may opt out of this arbitration agreement by sending written notice to legal@wealthgrid.ai within 30 days of first accepting these Terms.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. For any claim not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in Florida.
(a) These Terms constitute the entire agreement between you and WealthGrid regarding the Platform and supersede all prior agreements. (b) WealthGrid's failure to enforce any provision does not constitute a waiver. (c) If any provision is found unenforceable, the remaining provisions remain in full force. (d) WealthGrid reserves the right to modify these Terms at any time. Continued use after notice constitutes acceptance.
